1. Agreement
These Terms of Use (“Terms”) form a legal agreement between you and SPONTO LTD (“Sponto”, “we”, “us”, “our”) governing your use of the software applications we publish for iPhone, iPad, Apple Watch, Mac, Apple TV, Apple Vision Pro and other Apple platforms (the “Apps”), related services, and the website at sponto.top (the “Site”), together the “Services”.
By downloading, installing, accessing or using the Services, you confirm that you accept these Terms and our Privacy Policy and AI Use & Consent Policy. If you do not agree, do not use the Services. Individual Apps may include additional terms presented in-app; those additional terms form part of these Terms for that App.
2. Eligibility
You must be at least 13 years old (or the minimum age of digital consent in your country) to use the Services. If you are under 18, or under the age of majority where you live, you may only use the Services with the involvement and consent of a parent or guardian, who agrees to these Terms on your behalf. Certain features, including AI features, may have higher age requirements stated in the App or its App Store age rating.
3. Licence to use the Apps
Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable licence to download, install and use the Apps on Apple-branded products you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions (“Usage Rules”), including use by other accounts associated with you via Family Sharing or volume purchasing where enabled.
You may not: (a) copy, modify, translate or create derivative works of the Apps; (b) reverse engineer, decompile or disassemble the Apps, except to the extent permitted by applicable law; (c) rent, lease, lend, sell, redistribute or sublicense the Apps; (d) remove or alter any proprietary notices; (e) circumvent any security, licensing or in-app purchase mechanism; or (f) use the Apps to build a competing product. The Apps are licensed, not sold.
4. Apple App Store terms (End User Licence Agreement)
The Apps are distributed through Apple's App Store. If an App does not have its own custom licence agreement, your use is also governed by Apple's Licensed Application End User License Agreement (the “Standard EULA”). These Terms are intended to be consistent with it, and the following terms apply to every App you obtain from the App Store:
- Acknowledgement. These Terms are between you and SPONTO LTD only, not with Apple Inc. (“Apple”). SPONTO LTD, not Apple, is solely responsible for the Apps and their content.
- Scope of licence. The licence granted to you is limited to a non-transferable licence to use the App on any Apple-branded products you own or control, as permitted by the Usage Rules.
- Maintenance and support. SPONTO LTD is solely responsible for providing maintenance and support for the Apps, as described on our Support page. Apple has no obligation to furnish any maintenance or support services for the Apps.
- Warranty. SPONTO LTD is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. If an App fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for that App to you. To the maximum extent permitted by law, Apple will have no other warranty obligation with respect to the Apps, and any other claims, losses, liabilities, damages, costs or expenses attributable to any failure to conform to any warranty will be our sole responsibility.
- Product claims. SPONTO LTD, not Apple, is responsible for addressing any claims by you or any third party relating to the Apps or your possession and/or use of them, including: (i) product liability claims; (ii) any claim that an App fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy or similar legislation.
- Intellectual property rights. In the event of any third-party claim that an App or your possession and use of it infringes that third party's intellectual property rights, SPONTO LTD, not Apple, will be solely responsible for the investigation, defence, settlement and discharge of that claim.
- Legal compliance. You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a “terrorist supporting” country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.
- Developer contact. Questions, complaints or claims about the Apps should be directed to SPONTO LTD at [email protected].
- Third-party terms. You must comply with applicable third-party terms of agreement when using an App (for example, your wireless data service agreement).
- Third-party beneficiary. Apple and Apple's subsidiaries are third-party beneficiaries of these Terms, and upon your acceptance of them, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.
5. Purchases and subscriptions
Some Apps are free; others are paid or offer optional in-app purchases, including consumables, non-consumables (one-time unlocks) and auto-renewing subscriptions. All payments are processed by Apple through your Apple Account under Apple's terms, and prices are shown in your local currency in the App Store before purchase.
Auto-renewing subscriptions
- The subscription title, length (e.g. weekly, monthly, annual) and price are displayed before you subscribe.
- Payment is charged to your Apple Account at confirmation of purchase.
- Subscriptions renew automatically unless auto-renew is turned off at least 24 hours before the end of the current period.
- Your account will be charged for renewal within 24 hours before the end of the current period, at the then-current price. If the price increases, Apple will notify you and, where required, ask for your consent.
- You can manage and cancel subscriptions in your Apple Account settings (Settings › [your name] › Subscriptions). Cancellation takes effect at the end of the current billing period; you keep access until then.
- Deleting an App does not cancel a subscription.
Free trials and introductory offers
If offered, a free trial or introductory price converts automatically to a paid subscription at the standard price unless cancelled at least 24 hours before the trial or offer ends. Any unused portion of a free trial is forfeited when you purchase a subscription, where applicable.
Refunds
Refunds are handled by Apple in accordance with its policies; request one at reportaproblem.apple.com. Nothing in these Terms affects any statutory right to a refund you may have, including the right of withdrawal under UK and EU consumer law (which, for digital content supplied immediately, you may waive when you request immediate access).
Virtual items
Virtual currency, credits or items purchased in an App have no monetary value, cannot be exchanged for cash, and are a limited licence to use within that App. We may modify features or availability of virtual items, but will not remove paid items you have already obtained without offering a reasonable alternative or refund where required by law.
6. AI features
Some Apps include features that use artificial intelligence, which may run on your device or, with your explicit consent, through third-party AI providers. When using AI features you acknowledge and agree that:
- Output may be inaccurate. AI-generated output (“Output”) is produced automatically and may be incorrect, incomplete, offensive or not unique. You are responsible for reviewing Output before relying on or sharing it.
- Not professional advice. Output is not medical, legal, financial, psychological or other professional advice.
- Your inputs. You are responsible for the prompts, text, images, audio and other content you submit (“Input”), and you must have the rights to submit it. Do not submit other people's personal information without a lawful basis, or sensitive information you do not want processed.
- Ownership. As between you and Sponto, you retain your rights in your Input and, to the extent permitted by law and the relevant provider's terms, we assign to you any rights we have in the Output. Similar Output may be generated for other users.
- Prohibited uses. You must not use AI features to generate content that is unlawful, sexually exploits minors, harasses or defames others, impersonates real people deceptively, infringes intellectual property, promotes violence or self-harm, facilitates fraud or malware, or creates deceptive “deepfakes”. We may filter Input and Output and suspend AI access for misuse.
- Labelling. Where required by law, you agree to disclose that content was AI-generated when you publish it.
See our AI Use & Consent Policy for how AI data is handled.
7. Your content
You keep all ownership rights in content you create, upload or store with the Apps (“User Content”). You grant us a limited, worldwide, non-exclusive, royalty-free licence to host, store, process, transmit and display User Content only as necessary to operate and provide the Services to you, and for no other purpose. This licence ends when you delete the content or your account, except for copies retained in routine backups for a limited time or as required by law.
You are responsible for maintaining your own backups. Where content is stored only on your device, deleting the App may permanently delete it.
8. Acceptable use
You agree not to use the Services to:
- break any law or regulation or infringe anyone's rights, including privacy and intellectual property rights;
- upload or distribute malware, or attempt to gain unauthorised access to the Services, other accounts, or our systems;
- interfere with or disrupt the Services, including through scraping, automated access, excessive requests or load testing without permission;
- harass, threaten, bully, defame or discriminate against others;
- impersonate any person or entity, or falsely claim an affiliation with any person, brand or entity;
- exploit bugs or circumvent payments, rate limits or usage restrictions; or
- use the Services for any high-risk activity where failure could lead to death, personal injury or environmental damage.
9. Intellectual property and brands
The Apps, the Site and all related software, designs, text, graphics, icons and other materials (excluding User Content and third-party materials) are owned by SPONTO LTD or our licensors, including creators whose apps we publish, and are protected by copyright, trademark and other laws. Nothing in these Terms transfers any ownership to you.
Brand and trademark notice. SPONTO LTD is an independent app developer and publisher. We do not own, and make no claim to, any third-party brands, trademarks, logos, characters or names that may be referenced in our Apps, App Store listings or Site. Apple, the Apple logo, iPhone, iPad, Apple Watch, Mac, Apple TV, Apple Vision Pro and App Store are trademarks of Apple Inc., registered in the U.S. and other countries; App Store is a service mark of Apple Inc. All other trademarks are the property of their respective owners. References to third-party products or services are for identification or compatibility purposes only and do not imply any affiliation, sponsorship or endorsement, unless expressly stated.
If you send us feedback or suggestions, you allow us to use them without restriction or compensation to you.
10. Intellectual property complaints
We respect intellectual property rights and respond to notices of alleged infringement in line with applicable law, including the U.S. Digital Millennium Copyright Act. If you believe content in our Apps or Site infringes your rights, email [email protected] with the subject “IP notice” and include:
- your name, address, telephone number and email address;
- a description of the copyrighted work or trademark you claim is infringed;
- the specific location of the material (App name, version, screen or URL);
- a statement that you have a good-faith belief that the use is not authorised by the rights owner, its agent or the law;
- a statement, under penalty of perjury, that the information is accurate and that you are the rights owner or authorised to act on its behalf; and
- your physical or electronic signature.
We will investigate and, where appropriate, remove or modify the material and, in appropriate circumstances, terminate repeat infringers.
11. Third-party services
The Services may integrate with or link to third-party services (such as iCloud, Apple Health, Siri, maps, AI providers or websites). Those services are governed by their own terms and privacy policies, and we are not responsible for their content, availability or practices. Use of open-source components in the Apps is governed by their respective licences, which are available in-app where required.
12. Health and professional disclaimer
Apps that display health, fitness, wellbeing, financial or similar information are for general informational and personal-organisation purposes only. They are not medical devices and do not provide medical diagnosis or treatment. Always seek the advice of a qualified professional with any questions you may have. In an emergency, contact your local emergency services immediately.
13. Disclaimers
To the maximum extent permitted by law, the Services are provided “as is” and “as available”, without warranties of any kind, whether express, implied or statutory, including warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement and uninterrupted or error-free operation. We do not warrant that the Services will meet your requirements, be compatible with every device or OS version, or that data will never be lost.
Some jurisdictions do not allow the exclusion of certain warranties; in that case the exclusions apply only to the extent permitted. Nothing in these Terms affects your statutory rights as a consumer, including under the UK Consumer Rights Act 2015 and EU consumer law, which entitle you to digital content that is of satisfactory quality, fit for purpose and as described.
14. Limitation of liability
To the maximum extent permitted by law, SPONTO LTD, its directors, employees, partners and licensors will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data, goodwill or business opportunity, arising out of or in connection with the Services, even if advised of the possibility of such damages.
Our total liability to you for all claims arising out of or relating to the Services is limited to the greater of (a) the amount you paid for the relevant App or in-app purchase in the 12 months before the claim, or (b) £50 (or the equivalent in your local currency).
Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by law.
15. Indemnity
To the extent permitted by law, you agree to indemnify and hold harmless SPONTO LTD from any claims, damages, losses and expenses (including reasonable legal fees) arising from your breach of these Terms, your User Content or Input, or your misuse of the Services. This section does not apply to consumers where prohibited by law.
16. Termination
You may stop using the Services at any time by deleting the Apps and, where applicable, your account (see Data Deletion). We may suspend or terminate your access if you materially breach these Terms, if required by law, or if we discontinue an App, giving reasonable notice where practicable. On termination, the licence in Section 3 ends. Sections that by their nature should survive termination (including 9, 13, 14, 15 and 18) will survive. If we discontinue an App you paid for, we will use reasonable efforts to keep it working on supported devices for a reasonable period or provide remedies required by law.
17. Changes to the Services and these Terms
We continually improve the Apps and may add, change or remove features. We may update these Terms from time to time. We'll post the updated Terms here with a new “Last updated” date and, for material changes, notify you in-app or by email at least 14 days before they take effect. Continued use after changes take effect means you accept them. If you don't agree, stop using the Services and cancel any subscription.
18. Governing law and disputes
These Terms and any dispute arising from them are governed by the laws of England and Wales, and the courts of England and Wales have jurisdiction. If you are a consumer living elsewhere in the UK or in the EU, you also benefit from any mandatory protections of the law of your country of residence and may bring proceedings in your local courts.
Before starting formal proceedings, please contact us at [email protected] so we can try to resolve the issue informally — most issues can be sorted out quickly. EU consumers may also use their national alternative dispute resolution bodies.
19. General
- Entire agreement. These Terms, together with the policies referenced in them, are the entire agreement between you and us regarding the Services.
- Severability. If any provision is found unenforceable, the rest remain in full effect.
- No waiver. Our failure to enforce a right is not a waiver of it.
- Assignment. You may not transfer your rights under these Terms. We may transfer ours to an affiliate or successor, without reducing your rights.
- Third-party rights. Except for Apple as set out in Section 4, no third party has any right to enforce these Terms, including under the Contracts (Rights of Third Parties) Act 1999.
- Language. These Terms are written in English; any translation is for convenience only.
- Export. You may not use or export the Apps in violation of U.S., UK, EU or other applicable export control or sanctions laws.
